DOMAIN NAME REGISTRATION AGREEMENT
1. Parties and Acceptance
This PROJX Domain Name Registration Agreement ("Agreement") is entered into electronically between:
- PROJX Digital İnovatif Teknolojiler A.Ş ("PROJX" or the "Company"),
and - The natural or legal person who creates an account with PROJX and purchases domain registration/allocation and related services ("Customer").
By approving this Agreement electronically, the Customer declares that they accept the provisions of the Agreement, together with PROJX's General Terms of Service / General Provisions of the Service Agreement in force, as an inseparable whole. PROJX may update this Agreement within the scope of the requirements of the service and the legislation; the updated text enters into force the moment it is published on the Platform.
2. Subject Matter and Scope of the Agreement
This Agreement governs domain name allocation/registration, renewal, transfer/assignment, DNS management, technical and administrative processes related to the domain name, and the related payment and dispute rules.
3. Definitions
- Domain Name: The internet domain name registered/allocated in the name of the Customer.
- Services: All services including domain registration/allocation, renewal, transfer, DNS, additional services and support.
- Platform: PROJX's website/panels and related digital channels.
- Registry Operator / Registry: The authorised registration system and/or authorised body depending on the domain extension (e.g. ICANN, TRABIS, etc.).
- UCHS: Dispute Resolution Service Providers.
4. Use of the Service and Authorisation
4.1. The Customer accepts that they are the person authorised to dispose of the Domain Name.
4.2. For legal persons, the authority to act lies solely with the person(s) authorised to represent and bind the company.
4.3. The Customer is responsible for all transactions carried out through their account (including transactions by authorised users/employees/representatives). It is the Customer's obligation to protect access information such as username/password/2FA.
5. Fees, Payment and Price Changes
5.1. The Customer accepts to pay at the time of ordering the Service. Payment may be made by credit card, wire transfer/EFT or other methods offered on the Platform.
5.2. For services priced in foreign currency, payment is applied subject to the relevant legislation and payment infrastructure rules.
5.3. PROJX may update prices due to cost increases, changes in suppliers, inflation, legislation or operational reasons. Price changes are announced on the Platform.
5.4. In the event of stolen/suspicious payment, chargeback or payment security risk, PROJX has the right to suspend, cancel, halt delivery of domain names and related services and to take the necessary administrative/legal action.
6. Term, Renewal, Suspension and Deletion Processes
6.1. The Domain Name is registered in the Customer's name for the period purchased.
6.2. Renewal occurs (i) when the Customer provides automatic renewal instructions or (ii) when the Customer renews via the panel.
6.3. For expired domain names, the extension/redemption/renewal windows vary by extension. The additional renewal / redemption fees that may be applied in these processes may differ according to extension policies.
6.4. The Customer is obliged to track renewal dates. PROJX cannot be held liable if a domain name that is not renewed in time becomes inactive, is suspended, deleted or becomes available for registration by third parties.
7. Accuracy and Currency of Information; WHOIS
7.1. The Customer accepts that all information declared at registration is accurate and up to date and undertakes to update changes without delay (within a reasonable period).
7.2. Incorrect/missing information may lead to suspension or cancellation of the service or to adverse outcomes for the Customer in disputes.
7.3. As required by the rules of the extension, certain information about the Domain Name holder may be published in WHOIS or similar registration directories. The Customer consents to such publications to the extent required by extension policies.
8. Transfer, Assignment and Dispute Policies
8.1. The Customer accepts to comply with the rules of the relevant extension's registry operator, with ICANN/TRABIS and similar regulatory policies, in domain name operations.
8.2. For certain extensions, a transfer lock / waiting period may apply after registration, after a change of registrant or in certain security processes. The duration and conditions vary by extension and registry operator policy.
8.3. In disputes, the relevant operator's dispute resolution mechanisms (e.g. WIPO/UDRP, TRABIS-UCHS processes) may apply. PROJX may take technical measures such as taking control of, suspending, halting transfer of, or locking the domain name in compliance with legislation/decisions/operator instructions.
9. Special Provisions for ".tr" Extensions (TRABIS / BTK)
9.1. ".tr" extension domain names are subject to the relevant regulation/communiqué, TRABIS processes and BTK regulations.
9.2. TRABIS may request information/documentation at any stage of the application process. PROJX has no obligation to interfere with TRABIS's decisions or guarantee allocation.
9.3. For domain names of the form "a.tr" and "a.b.tr", allocation, quantity limits, certification and assessment rules are set by TRABIS.
9.4. For names within the scope of TAKIL / TAKAL, additional checks/documents may be requested; allocation may not be made.
9.5. The sale/transfer processes of ".tr" domain names may be periodically limited by legislation and announcements of the Authority. PROJX may not be able to process sales requests until the relevant regulatory framework is clarified.
9.6. In ".tr" disputes, the competent UCHSs and procedures apply (including mechanisms operating through structures such as BTIDER, ISTAC, TOBB UYUM, etc.).
10. Suspension, Restriction of Services and Termination of the Agreement
10.1. In the event of the Customer's breach of the Agreement, breach of payment, security risk, breach of legislation or upon the request of the operator/authority, PROJX may suspend, restrict or terminate the services.
10.2. The Customer accepts not to use the Platform and PROJX infrastructure for:
- distributing malicious software/harmful content,
- infringing third-party rights,
- fraud/identity theft,
- catalogue crimes and similar unlawful content,
- spam/junk mail,
- DDoS/flooding and traffic that strains the infrastructure.
10.3. PROJX may take the necessary technical measures to preserve network security/operational continuity; in cases of serious breaches, PROJX may apply emergency measures without prior notice.
11. Limitation of Liability
11.1. PROJX's total liability towards the Customer shall not exceed the service fees actually paid by the Customer for the relevant service in the last 12 months.
11.2. PROJX is not liable for consequences such as indirect damages, loss of profit, loss of business, loss of opportunity, loss of data, or loss of reputation.
11.3. Cases that cannot be legally limited (e.g. intent, gross negligence, bodily harm, etc.) are reserved.
12. Force Majeure
Events beyond PROJX's control, such as internet/electricity/telecoms failures, widespread cyber attacks (DDoS, etc.), pandemics, natural disasters, fire, war/terrorism, public authority decisions, and strikes/supply disruptions, are considered force majeure. Obligations may be suspended during the period of force majeure.
13. Restrictions on Sanctioned Countries
The Customer accepts to comply with the applicable sanctions/export/import regulations; the Customer accepts that the Services will not be used towards sanctioned countries or persons/entities on sanctions lists. In case of breach, PROJX may immediately terminate the service.
14. Entry into Force, Amendment and Other Provisions
14.1. This Agreement enters into force upon the Customer's electronic approval.
14.2. PROJX may update the text due to the requirements of the service and the legislation. The updated text is effective the moment it is published on the Platform.
14.3. The invalidity of part of the provisions of the Agreement does not affect the remaining provisions.
